1. Scope and status of these terms

These Terms of Purchase govern requests submitted through the Illume Research website and any resulting supply that Illume Research expressly accepts in writing. Website access, basket creation, or submission of a request does not create an accepted order, reserve inventory, or oblige Illume Research to supply any material.

These terms are an original operational draft. The legal entity name, registered address, governing law, dispute forum, tax registrations, licences, and jurisdiction-specific mandatory disclosures must be completed and reviewed by qualified counsel before live trading.

2. Eligible purchasers and verification

The requester must be at least 18 years old, meet any higher applicable legal-age requirement, possess legal capacity, and act as a genuine scientific researcher or authorised representative of a legitimate research institution or laboratory.

The requester must provide accurate professional, institutional, research-purpose, facility, destination, and jurisdiction information. Illume Research may request documentary evidence, contact an institution, screen a destination or party, and pause or reject a request if information is incomplete, inconsistent, unverifiable, or raises a compliance concern.

3. Permitted purpose

Materials are offered solely for lawful, controlled, non-clinical scientific research. The purchaser must maintain suitable premises, trained personnel, risk controls, security, records, storage, handling, and disposal procedures, together with any institutional approvals or legal authorisations required for the proposed work.

No product is offered as a medicine, medical device, diagnostic, food, dietary supplement, cosmetic, consumer product, performance product, or material suitable for administration to humans or animals.

4. Prohibited activity

Human or veterinary consumption, administration, treatment, diagnosis, prevention, enhancement, supplementation, compounding, clinical investigation outside an authorised framework, or any other personal use is prohibited.

The purchaser must not resell, relabel, repackage, formulate, manufacture with, market, advertise, distribute, export, transfer, or provide materials to another person without prior written acceptance from Illume Research and all required legal authorisations. Diversion, deceptive ordering, false institutional claims, sanctions evasion, unlawful import, and any unsafe or illegal activity are prohibited.

5. Product data and batch documentation

Product titles, quantities, variant information, prices, stock status, CAS information, purity statements, images, and COA links are informational and may be corrected or updated. A CAS number or purity percentage is displayed only when verified documentation is available. A pending COA state is not a certificate and must not be treated as one.

Third-party reports are supplied for reference to the identified product or batch. The purchaser must evaluate their scope, limitations, methods, date, chain of custody, and suitability for the purchaser's work. Third-party content is not a regulatory approval or an independent warranty by Illume Research.

6. Request, review, and contract formation

A submitted basket is a non-binding request for manual review. Illume Research may verify the requester, institution, end use, product, destination, documentation, availability, pricing, shipping route, and legal or policy restrictions before deciding whether to proceed.

An order is accepted only when Illume Research issues an express written acceptance identifying the approved products, quantities, price, payment terms, destination, and any special conditions. Automated acknowledgements, request references, or correspondence seeking more information are not acceptance.

7. Price and external payment

No payment is collected on this website, and online checkout is not offered. Website prices and subtotals are indicative until confirmed in writing. Taxes, duties, brokerage, shipping, insurance, currency conversion, and other charges may apply.

If a request is accepted, Illume Research may send a separate payment link or payment instruction from an authorised communication channel. The requester must independently verify the sender, reference, amount, currency, and beneficiary before paying. A payment request does not override any written conditions of acceptance.

8. Inventory and cancellation

Displayed availability reflects the store catalogue configuration but does not guarantee physical stock, batch suitability, destination eligibility, or reservation. Illume Research may correct inventory, price, publication, or data errors and may decline, limit, suspend, or cancel a request before acceptance.

After written acceptance or payment, cancellation, refund, substitution, or return rights depend on the confirmed terms, product characteristics, applicable law, and whether supply has begun. Mandatory legal rights that cannot be excluded remain unaffected.

9. Delivery, import, and destination responsibility

The purchaser is responsible for determining whether the requested material may lawfully be purchased, imported, transported, possessed, stored, researched, and disposed of at the destination. The purchaser must obtain all licences, permits, declarations, end-use evidence, and institutional approvals required by the relevant authorities.

Illume Research may restrict shipping methods, carriers, destinations, quantities, or products and may request additional evidence. Delivery dates are estimates unless expressly agreed in writing. Risk allocation, title transfer, inspection periods, and claims procedures must be specified in the written acceptance for each order.

10. Receipt, inspection, storage, and incident reporting

On receipt, the purchaser must inspect packaging, identity, quantity, condition, label information, temperature indicators where applicable, and available batch documents before use. Any suspected damage, discrepancy, contamination, tampering, or document mismatch must be isolated and reported promptly with supporting evidence.

The purchaser must follow the product label, applicable safety data, facility procedures, and legal requirements for secure storage, handling, access control, spill response, waste management, and disposal. Website content is not a substitute for a laboratory risk assessment or professional safety advice.

11. Warranties and liability

Except for commitments expressly stated in a written acceptance and any rights that cannot lawfully be excluded, website content and catalogue availability are provided without an implied promise of fitness for a particular experiment, method, result, commercial purpose, clinical purpose, or regulatory outcome.

To the maximum extent permitted by applicable law, Illume Research is not responsible for losses arising from prohibited use, inaccurate purchaser information, unlawful import or possession, unsuitable experimental design, third-party reports, unauthorised transfer, failure to follow safety controls, or use outside the accepted purpose. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.

12. Refusal, suspension, and cooperation

Illume Research may refuse or suspend access, requests, communications, or supply where necessary for safety, legal, regulatory, sanctions, fraud, payment, documentation, reputation, policy, or operational reasons. The purchaser must cooperate with reasonable compliance enquiries and preserve relevant order and end-use records.

13. Privacy, confidentiality, and records

Requester and institutional information is used to assess eligibility, review requests, maintain records, communicate, prevent misuse, and meet legal or operational obligations. Users must not submit patient data, clinical subject data, government identity documents, or unnecessary sensitive information through free-text fields or ordinary email.

The Privacy Notice describes the current data practices. Additional retention, international transfer, processor, and statutory-rights wording may be required after the operating jurisdictions and service providers are finalised.
